These Terms of Service ("Terms") form the legal agreement between you or the employer or other entity on whose behalf you are entering into this agreement ("you" or "Customer") and Skycove LLC, a Delaware Limited Liability Company ("Skycove", "we", or "us"), and sets forth the terms and conditions for your use of the Skycove website and services (the "Services"). These Terms also include a binding arbitration agreement that requires arbitration of covered disputes instead of litigation by court or jury trial.
1. Contract Formation and Updates. We may update these Terms from time to time. If we do, we will provide you with reasonable notice before such changes become effective, such as by email, upon login to the Skycove Services or visiting these Terms on our website. You acknowledge and agree that your continued use of the Service after any new version takes effect indicates your agreement to such new version of the Terms. If you do not agree to all of the terms and conditions contained in the Terms, do not access or use the Services. You agree to maintain a current and valid email address or other electronic contact method on file with Skycove to receive all communications, agreements, and notices that we provide in connection with the Services.
2. License. Skycove grants you a limited, non-exclusive, non-transferable license to access and use the Skycove website and the Services for your internal business purposes as expressly permitted by these Terms and subject to the limitations set forth hereinafter. Skycove remains the sole owner of all right, title, and interest in the Site and reserves all rights not expressly granted under these Terms.
3. Access to Features. We may modify, replace, or discontinue Services or any part thereof at any time, for any reason, with or without notice, in our sole discretion. Skycove provides the Site on an "as is" and "as available" basis. Users of a free version of the Services acknowledge and agree that you may not have access to all functionality of the Services. We reserve the right to set resource limitations on User accounts and limit certain features on the site to certain subscription plans and may add or remove features to the free version of the Services at our sole discretion.
4.User Content and Feedback.
a. For any document, text, image, or any other content that you upload or post to the Services ("User Content"), you represent and warrant that: (i) you have all necessary rights to post User Content to the Services and grant the licenses set forth herein; (ii) Skycove will not need to obtain licenses from any third party or pay royalties to any third party with respect to User Content; (iii) User Content does not infringe any third party's rights, including intellectual property rights and privacy rights; and (iv) User Content complies with these Terms and all applicable laws.
b. By uploading User Content, you grant us a limited, worldwide, non-exclusive, royalty-free license and right to copy, transmit, distribute, publicly perform and display (through all media now known or hereafter created), and make derivative works from User Content for the purpose of allowing you to index, search, display, edit, and create derivative works from User Content using the Site and archiving or preserving User Content for disputes, legal proceedings, or investigations. The above licenses will continue unless and until you remove User Content from the Site, in which case the licenses will terminate within a commercially reasonable period of time. Notwithstanding the foregoing, the license for legal archival/preservation purposes will continue indefinitely.
c. If you provide us with any feedback, suggestions, improvements, enhancements, recommendations and/or feature requests relating to the Services ("Feedback"), then you hereby assign to Skycove all right, title, and interest in and to any Feedback. You agree that Skycove is free to make unrestricted use, copy, modify, sell, distribute, sub-license, and create derivative works of the Feedback without any necessity of payment or attribution to you. Feedback will not be deemed your Confidential Information.
5.Restrictions.
a. You may not use or permit use of the Services for any illegal purpose or in any way inconsistent with these Terms.
b. You may not use the Services to infringe any third-party right, including, but not limited to, right of privacy, right of publicity, copyright, trademark, patent, trade secret, or any other intellectual property or proprietary rights;
c. You may not copy, republish, frame, link to, download, transmit, modify, adapt, create derivative works based on, rent, lease, loan, sell, assign, distribute, display, perform, license, sublicense, or attempt to derive source code or otherwise reverse engineer the Services. In addition, you agree not to use any data mining, robots or similar data and/or text or data mining, gathering and extraction methods in connection with the Services
d. You may not use the Services for any content, purpose, or manner that is harmful, threatening, abusive, harassing, tortious, indecent, defamatory, sexually explicit or pornographic, discriminatory, vulgar, profane, obscene, libelous, hate speech, violent or inciting violence, inflammatory, or otherwise objectionable;
e. You may not use the Services in any manner that interferes with the use or operation of the Services and may not circumvent, disable, damage, or otherwise interfere with any security-related features, or similar features that enforce limitations on use of the Services;
f. You may not use the Services to host or distribute any User Content that includes computer viruses or other code, files, or programs that interrupt, destroy, or limit the functionality of any computer software or hardware or electronic communications equipment;
g. You may not, and shall not permit others to use the Services in a way that exceeds any license or usage restriction in your subscription or usage plan.
h. You may not license, sub-license, sell, re-sell, rent, lease, transfer, distribute or time share or otherwise make any portion of Services or documentation of the Services available to any third party as a service bureau or service provider, to benchmark or compile competitive information, to develop or operate products or services intended to be competitive to the Services or allow access to the Services by a direct competitor of Skycove.
i. We reserve the right to remove any User Content that violates any of these restrictions and to restrict or terminate any access to the Services for any violation of these restrictions.
6.Term and Termination.
a. The term of these Terms, with respect to the Services, begins on the date you accept these Terms and continues until the expiration of your subscription or when your use of the Services ceases (including for reason of termination), whichever is later.
b. Following the expiration of your subscription plan, such plan will automatically renew on the same terms as your original plan purchase. You expressly grant Skycove the right to charge you for each automatic renewal until you timely disable automatic renewal. You can disable automatic renewal at any time prior to renewal using your account settings.
c. Skycove may block, restrict, disable, suspend or terminate your access to all or part of the Services at any time in our discretion, without prior notice or liability to you. Any conduct by you that, in our sole discretion, violates any Restriction set forth in these Terms, or restricts or inhibits any other person or entity from using or enjoying the Services is strictly prohibited and may result in the termination of your access to the Services without further notice.
d. You will be in default of these Terms if: (a) you fail to timely pay any amount owed to us; (b) you or an Authorized User in your account breaches any provision of these Terms or violates any published policy applicable to the Services; (c) you are or become subject to any proceeding under the Bankruptcy Code or similar laws; or (d) if, in our sole discretion, we believe that your continued use of the Services creates legal risk for Skycove or presents a threat to the security of the Services or our customers. If you are in default, we may, without notice: (i) suspend its Account and use of the Services; (ii) terminate your Account; (iii) charge reactivation fees in order to reactivate your account; and (iv) pursue any other remedy available to us.
e. In the event that you breach any of the terms of these Terms or any other agreement with Skycove, we shall have the right to terminate your account without further notice, in addition to our other rights at law and/or equity. Skycove shall be under no obligation to refund any fees paid by you in the event that your account is terminated by reason of a breach.
7.Disclaimer of Warranties.
TO THE FULLEST EXTENT PERMITTED BY LAW, SKYCOVE AND MAKES NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED "AS IS" AND WE DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.Limitation of Liability.
a. You will be responsible for maintaining the integrity of your User Content (including errors, corruption, or incompleteness) up until the point at which User Content is uploaded into the Services. Skycove shall not be responsible for the integrity of User Content prior to its upload to the Services or any loss of integrity suffered by Customer through no fault of Skycove or the Services. If you suffer data loss or corruption through no fault of Skycove or the Services, we may make commercially reasonable efforts to rectify the data corruption or loss upon your request and will invoice Customer on a time and materials basis for work to fulfill any such request.
b. Neither Skycove nor any of our officers, employees, managers, members, shareholders, directors or suppliers shall be liable to you or to any other person or entity for any general, punitive, special, indirect, consequential or incidental damages, or lost profits or any other damages, costs or losses arising out of these Terms, unless expressly provided for herein, even if we has been advised of the possibility of such damages, costs or losses.
c. Our total liability to you for any cause of action arising out of or related to these terms or to your use of the Services (including without limitation warranty claims), regardless of the forum and regardless of whether any action or claim is based on contract, tort (including negligence), or any other legal or equitable theory, will not exceed the total amount paid by you to Skycove for the Service(s) giving rise to the claim under these terms during the twelve (12) month period preceding the date of the first event giving rise to liability, or $100, whichever is greater. The existence of more than one claim shall not enlarge this limit.
9.Indemnification.
You agree to indemnify and hold harmless Skycove, our members, officers, directors, employees, agents, suppliers and independent contractors against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys' fees) arising out of or related to your content, conduct, your use or inability to use the Services, your breach or alleged breach of these Terms, any Skycove policy, any representation or warranty contained herein, or your violation of any rights of another.
10.Copyright Infringement.
If you believe that any content hosted or made available by Skycove infringes upon any copyright that you own or control, you may notify our designated agent using our Copyright Infringement Notification Form. We reserve the right to delete or disable content alleged to be infringing and terminate accounts of repeat infringers.
11.Arbitration.
Any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding individual (not class) arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association or of the International Centre for Dispute Resolution in effect on the date of the commencement of arbitration, rather than in court, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof or having jurisdiction over the relevant party or its assets. The place of arbitration shall be the state and county of New York. The language of the arbitration shall be English. There shall be one arbitrator to be mutually agreed by the parties. Each party shall bear its own costs in the arbitration. Both parties agree that the following claims are exceptions to this agreement to arbitrate and will be brought in a judicial proceeding in a court of competent jurisdiction: (i) any claim seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack) (ii) any claim arising solely from your alleged failure to pay fees due to Skycove. This arbitration provision will survive termination of these Terms. YOU AND SKYCOVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Skycove agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding. The arbitrator may award injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. You and Skycove acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable disputes under these Terms. If a court decides that applicable law precludes enforcement of any of the limitations in this section as to a particular claim for relief, then that claim (and only that claim) must be severed from the arbitration and may be brought in court.
12.Eligibility.
a. You represent and warrant that you are of legal age (18 years of age or older or otherwise of legal age in your resident jurisdiction) and competent to agree to these Terms. If you are agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization or entity's behalf and bind them to these Terms.
b. You acknowledge that the Services are subject to the export control and sanctions laws and regulations of the United States and other countries that may prohibit or restrict access by certain persons or from certain countries or territories currently including, but not limited to, Cuba, the Crimea region of Ukraine, Sudan, Iran, North Korea and Syria ("Trade Restrictions"). You represent and warrant that you are not: (i) located in an embargoed country or territory, (ii) under the control of an entity organized in or a resident of an embargoed country or territory, (iii) listed on any U.S. government list of persons or entities with which U.S. persons are prohibited from transacting, including, but not limited to, OFAC's List of Specially Designated Nationals and Other Blocked Persons, the U.S. State Department's Nonproliferation Sanctions lists, the U.S. Commerce Department's Entity List or Denied Persons List; or (iv) subject to end destination export control regulations, such as, but not limited to, the U.S. Export Administration Regulations and U.S. Government EU Dual-Use Regulation EC 428/2009. You are solely responsible for complying with Trade Restrictions in using the Services.
13.Miscellaneous.
a. These Terms are governed by and shall be construed in accordance with the laws of the State of Delaware, without respect to its conflict of laws principles.
b. Although the Services provide tools to manage your contracts and legal obligations, Skycove does not and the Services do not provide legal advice. Although we strive to ensure that we provide useful and accurate information, you should consult with an attorney licensed to practice in your jurisdiction for legal advice. Skycove does not and can not offer any legal advice, legal opinions, or recommendations and expressly disclaims any liability of any kind related to any feedback provided by Skycove or our representatives. Skycove is not involved in agreements between you and any other party.
c. If you are entering into these Terms on behalf of your employer or other entity, you warrant and represent that you have the full right and authority to do so. In the event that you do not have such authority, you agree that you will be personally liable to Skycove for any breaches of the terms of this TOS. You hereby grant Skycove a worldwide, non-exclusive, limited license to use your trademarks in our promotional materials, including a public customer list. To opt-out from or revoke permission for this promotional use, please email us at trademarks@skycove.io. Our use of your trademarks shall at all times conform to your then-current trademark use policies as made available to us and shall at all times inure to your benefit. We further agree that we will use commercially reasonable efforts to terminate any particular use of your trademark no later than thirty (30) days from the date of our receipt of your opt-out request.
d. Except when required by law, we shall be under no obligation to issue refunds under any circumstances. All fees are non-refundable, even if your subscription is terminated before its expiration. You authorize us to charge you all subscription fees for the duration of the term agreed to at the time of purchase. In the event that we determine that you are entitled to a refund of all or part of the fees you paid, such refund shall be made using the payment method originally used by you to make your purchase.
e. Unless otherwise specified in the coupon, any coupon or discount code applied to a purchase hereunder shall apply only to the first payment made in connection with such purchase.
f. These Terms shall be construed neither against nor in favor of any party, but rather in accordance with the fair meaning of the language hereof. The invalidity or unenforceability of any part of these Terms shall not affect the validity or enforceability of the balance hereof. If any individual term of these Terms is found to be invalid or unenforceable by any legal or regulatory body of competent jurisdiction, such finding will be limited solely to such invalid or unenforceable part, without affecting the remaining parts of such individual term, or any other part of these Terms, so that these Terms shall otherwise remain in full force and effect.
g. It is expressly understood and agreed that these Terms are entered into solely for the mutual benefit of the parties herein and that no benefits, rights, duties, or obligations are intended by these TOS as to third parties.

Information Sharing with Service Providers

Your Choices (Opt Out)
Skycove does not sell your personal data or personal information to any third party. Skycove will only use your personal information for the purposes described in this Privacy Statement and will not use your personal information for a purpose that is materially different without your express authorization.
You may "opt out" of receiving Skycove's email updates, newsletters and/or partner emails. The choice to opt out of such communications is also generally available during the sign-up process. Single Sign-On

Referral Program Emails
If you choose to use our referral service to tell a colleague about our Site, share a Collection, or invite someone to join a team account, we will ask you for your colleague's name and email address. We will automatically send your colleague a one-time email inviting him or her to visit the Site. Skycove stores this information for the sole purpose of sending this one-time email, tracking the success of our referral program, and managing access to Collections. Your colleague may contact privacy@skycove.io to request that we remove this information from our database.
Children
We do not intend to solicit or collect Personal Information from anyone under the age of 18. If you are under 18, do not enter information on this site or engage our services.
